Legal basis: Article 56 sec. 1 point 2 of the Act on Public Offering - current and periodic information.
The Management Board of VRG S.A., with its seat in Kraków ("the Company"), informs that the Supervisory Board of the Company on 19 March 2024 adopted a resolution to supplement the composition of the Supervisory Board by means of co-optation as provided for in paragraph 22(3) of the Company's Articles of Association. The Supervisory Board appointed Ms Blanka Borkowska to the Supervisory Board of the Company for the current joint term.
According to the statements made by Ms Blanka Borkowska:
(a) there are no legal impediments preventing her from performing the function of a member of the Supervisory Board and, in particular, there are no impediments referred to in Article 18 § 1 and § 2 or 387 of the Companies Act,
b) she is not engaged in any activities competitive to the Company, does not participate in a company competitive to the Company as a partner in a civil law partnership, a partnership or as a member of a body of a capital company, and does not participate in any other legal person competitive to the Company as a member of its body,
c) is not entered in the register of insolvent debtors of the National Court Register.
In addition, Ms Blanka Borkowska has submitted a declaration on her fulfilment of the independence criteria listed in Article 129(3) of the Act of 11 May 2017 on auditors, audit firms and public supervision and arising from Rule 2.3. of the Code of Best Practice for WSE Listed Companies 2021 regarding the absence of actual and significant relations with a shareholder holding at least 5% of the total number of votes in the company.
