Subject: Amendments to loan agreements entered into by the Company
The Management Board of VRG S.A., with its registered office in Kraków (hereinafter: the "Company"), informs that on 1 July 2024 the documentation concerning the following amendments to the credit agreements concluded between mBank S.A., with its registered office in Warsaw (hereinafter: the "Bank") and the Company was concluded:
1) amendment to the Framework Agreement dated 23.04.2019, as amended, including the extension for a period of 24 months, i.e. until 30 June 2026, of the credit limit of the multi-product line up to the amount of PLN 57,000 thousand, under which and up to the amount thereof the Company may use the following products:
a) an overdraft facility of up to PLN 57,000 thousand,
b) bank guarantees up to PLN 57,000 thousand,
c) documentary letters of credit up to PLN 57,000 thousand.
2) an amendment to the Electronic Payday Loan Agreement dated 20.09.2022, as amended, including the extension of the Company's supplier payday loan limit to PLN 15,000 thousand until 31 December 2026.
The Bank's receivables under the above agreements are secured by:
1) declarations of submission to execution pursuant to Article 777 of the Code of Civil Procedure,
2) an agreement between the Bank and the Company regulating the settlement of payment transactions made by the Company's counterparties using bank cards.
